Definitions: The customer, any person, company, or institution acquiring goods and/or services from ZEBOL S.A., will be referred to as “The Buyer.”
Acceptance: All deliveries of merchandise are subject to the terms and conditions contained herein and thus to the Buyer’s acceptance. If the parties agree to any changes in the terms and conditions, they must be in writing and signed by both parties.
Quotations: ZEBOL S.A. prepares a formal written offer defining the proposed scope in accordance with the customer’s request. The offer must be reviewed by the Buyer and subsequently accepted concerning the scope, options, price, delivery terms, payment terms, and additional comments in response to the Buyer’s request for quotation.
Prices: The prices indicated in ZEBOL S.A.’s offer include taxes separately. Transportation and insurance costs will be the Buyer’s responsibility unless otherwise stated in ZEBOL S.A.’s offer.
Additional Costs: The customer must incur unloading costs unless otherwise agreed, in which case it must be in writing in the offer.
Offer Validity: It will be valid for 15 calendar days from the date of issuance unless otherwise expressly stated in the offer.
Modification or Cancellation of Purchase Orders: Purchase orders can only be modified or corrected by written agreement signed by the parties, accepting the specific changes to be made and, if applicable, the price and delivery time modifications. The Buyer may not cancel their order unless they have the written consent of ZEBOL S.A. In such a case, ZEBOL S.A. will notify the Buyer of the cancellation charges that apply to the manufacturers and/or the costs of returning products to their place of origin. The Buyer will agree to pay these charges within 3 business days of being requested in writing, including, without limitation, storage costs, insurance, freight, taxes and import costs, off-line material production costs, non-returnable material acquisition costs, cancellation costs and charges incurred by ZEBOL S.A. from its suppliers, and any other costs resulting from the Buyer’s order cancellation. Delivery Terms: Materials will be delivered at ZEBOL S.A.’s warehouses unless otherwise specified. ZEBOL S.A. may, upon the Buyer’s request, deliver to their warehouses, for which ZEBOL S.A. will charge the service as a separate line item considering the size and/or volume of goods and the distance to be traveled. ZEBOL S.A. will not be liable for any loss, damage, or penalty resulting from a delay in delivering products or services due to causes beyond its control, including, without limitation, failed reactions, Buyer’s actions, embargoes, or other government acts, regulations, or requests affecting ZEBOL S.A.’s activities; fire, explosion, accident, theft, vandalism, demonstrations, acts of war, strikes and other labor difficulties; lightning, flooding, earthquake, or other natural phenomena; transportation delays or inability to obtain labor, fuels, materials, supplies, or power at normal prices and generally any force majeure and/or fortuitous event. The responsibility for the goods ends for Zebol upon delivery at the requested transportation companies’ warehouses, and what happens during transportation will be the Buyer’s or carrier’s responsibility according to the arrangements between them. Partial Deliveries: ZEBOL S.A. reserves the right to make partial deliveries. Each partial delivery will be invoiced and paid for separately when due, regardless of subsequent deliveries.
Claims: The Buyer must inspect the products and notify ZEBOL S.A. of any claims for shortages, defects, and/or damages and must keep the goods until receiving written instructions from ZEBOL S.A. on the procedure to follow. If the Buyer does not notify ZEBOL S.A. within a maximum of 24 hours after receiving the goods, they will be deemed received in accordance with these terms to their entire satisfaction.
Impossibility or Delay in Delivery: The Buyer must ensure that the workplace access is safe for both ZEBOL S.A. workers and light vehicles, cranes. If the delivery cannot be made for reasons beyond Zebol S.A.’s control, the operation costs of the next trip will be fully borne by the customer (understand mileage: ₡250 per kilometer for light vehicles, and ₡500 per kilometer for cargo vehicles; and labor hours ₡4,500). If the Buyer requests a rescheduling of the delivery, it will be conditioned on availability on the schedule.
Payment Terms: Payment terms are indicated in the offer (advance payment, credit, upon delivery, partial payments, letter of credit, etc.). If the Buyer’s financial situation results in the insecurity of ZEBOL S.A. receiving payment for the full sale price, ZEBOL S.A. may, without notifying the Buyer, delay or postpone the delivery of products and/or services, and ZEBOL S.A. is also authorized to modify the payment terms. If the Buyer fails to pay the sale price, ZEBOL S.A., without prejudice to any other legal remedies, may delay delivery, cancel the order, or sell the products pending delivery to a third party at the Buyer’s account and apply such products as a credit, without settlement or deduction, of any kind against the contract purchase price, and the Buyer will agree to pay the balance owed to ZEBOL S.A. upon request.
Warranty: ZEBOL S.A. warrants that its products comply with the description provided to the Buyer through its offer and product catalog. THIS WARRANTY IS EXCLUSIVE TO THE PRODUCT, ZEBOL S.A. DOES NOT PROVIDE ANY OTHER WARRANTY FOR INSTALLATION COSTS, NON-PRODUCTION, ETC., INCLUDING ANY OTHER WARRANTY OF MERCHANTABILITY OR FITNESS OF THE PRODUCTS FOR A PARTICULAR PURPOSE. ANY PRODUCT UNDER WARRANTY CLAIM MUST BE SENT OR DELIVERED TO ZEBOL S.A. OFFICES for inspection and repair. If the workshop determines at its discretion that the Buyer has misused or failed to use the products in accordance with industry standards and practices, or has not used the products according to the instructions provided by the manufacturers, the warranty will cease to be effective. The sole and exclusive liability of ZEBOL S.A. for products proven to be defective will be the replacement of the product at no cost to the Buyer, or the refund of the price paid.
Returns: ZEBOL S.A. will not accept product returns except with written authorization and in strict agreement with ZEBOL S.A.’s internal procedure. ZEBOL S.A. will not accept returns beyond 8 calendar days after the invoice date. No returns will be accepted for any electrical accessories without exception.
Repairs: In repairs by ZEBOL’s certified workshop, the service warranty is 6 months, except for mechanical seals and/or wear elements, which apply for 30 days.
