Definitions: the customer; is any person, company or institution acquiring goods and/or services from ZEBOL S.A. shall be referred to as “The Buyer”.
Acceptance: all deliveries of goods are subject to the terms and conditions contained herein and therefore to acceptance by the Buyer. In the event that the parties agree to any change in the terms and conditions, the same shall be in writing and signed by both parties.
Quotations: ZEBOL S.A., prepares a formal written quotation defining the proposed scope in accordance with the customer's request. The quotation must be reviewed by the Buyer and subsequent acceptance of the scope, options, price, delivery terms, form of payment and additional comments in response to the Buyer's request for quotation.
Prices: The prices indicated in ZEBOL S.A.'s offer include taxes separately. The cost of transportation and insurance shall be the responsibility of the Buyer, unless otherwise stated in ZEBOL S.A.'s offer.
Additional costs: the customer shall bear the cost of unloading the goods, unless otherwise agreed, in which case it shall be stated in writing in the offer.
Validity of the offer: shall be 15 calendar days from the date of issue, unless otherwise expressly stated in the offer.
Modification or cancellation of purchase orders: purchase orders may only be modified or amended by written agreement signed by the parties, accepting the specific changes to be made, and if applicable, modifications in price and delivery times. Buyer may not cancel its order unless it has the written consent of ZEBOL S.A. In such case ZEBOL S.A. will advise Buyer of the cancellation charges applied by the manufacturers and/or the costs of returning products to their place of origin. Buyer agrees to pay within 3 business days after written notice of such charges, including, without limitation, storage costs, insurance, freight, import taxes and charges, production costs of off-line materials, acquisition costs of non-returnable materials, cancellation costs and charges incurred by ZEBOL S.A. from its suppliers, and any other costs, if any, resulting from Buyer's cancellation of the order.
Delivery terms: the materials will be delivered to the warehouses of ZEBOL S.A., unless otherwise specified, ZEBOL S.A. may, upon request from the Buyer, deliver to its warehouses, for which ZEBOL S.A. will charge the service as a separate line taking into consideration the size and/or volume of the goods and the distance to be traveled. ZEBOL S.A. will not be responsible for any loss, damage or penalty as a result of a delay in the delivery of products or services due to causes beyond its control, including without limitation, failed reactions, acts of the Buyer, embargoes or other acts of government, regulations. or request that affects the activity of ZEBOL S.A.; fire, explosion, accident, theft, vandalism, demonstrations, acts of war, strikes and other labor difficulties; lightning, flood, earthquake or other natural phenomena; delay in transportation or impossibility of obtaining labor, fuel, materials, supplies or energy, at normal prices and in general due to any unforeseen event and/or force majeure. The responsibility for the goods ends for Zebol upon delivery to the warehouses of the transportation companies requested by the Buyer. What happens during transportation will be the responsibility of the Buyer or carrier according to the arrangements between them. Partial deliveries: ZEBOL S.A. reserves the right to make partial deliveries. Each partial delivery will be invoiced and paid separately when due, regardless of subsequent deliveries.
Claims: The Buyer must review the products and notify ZEBOL S.A. of any claim for shortages, defects and/or damages and must store the goods until receiving written instructions from ZEBOL S.A. about the procedure to follow. If the Buyer does not notify ZEBOL S.A. within a maximum period of 24 hours after receipt of the goods, they will be deemed received in accordance with these terms to your complete satisfaction.
Impossibility or delay in delivery: the Buyer must guarantee that access to the workplace is safe, both for ZEBOL S.A. workers and for light vehicles, cranes. In the event that the delivery cannot be made for reasons beyond the control of Zebol S.A., the operating expenses of the next trip will be paid in full by the client (understood as mileage: ₡250 kilometer for a light vehicle, and ₡500 each kilometer per cargo vehicle; and man hours ₡ 4,500). In the event that the Buyer requests rescheduling of the delivery, this will be conditional on availability on the agenda.
Payment terms: payment terms are indicated in the offer (advance payment, credit, cash on delivery, partial payments, letter of credit, etc.). If the Buyer's financial situation results in insecurity that ZEBOL S.A. will receive payment for the entire sale price, ZEBOL S.A. may, without the need for notification to the Buyer, delay or postpone the delivery of the products and/or services, also ZEBOL S.A. You are authorized to modify the payment terms. In the event that the Buyer fails to pay the sale price, ZEBOL S.A., without prejudice to any of the other legal remedies, may delay delivery, cancel the order or sell the products pending delivery to the account to a third party. of the Buyer and apply such products as a credit, without settlement or deduction, of any kind against the contract purchase price, and the Buyer will agree to pay the balance due to ZEBOL S.A. when requested.
Guarantee: ZEBOL S.A. guarantees that its products comply with the description provided to the Buyer through its offer and the product catalog. THIS WARRANTY IS EXCLUSIVE ON THE PRODUCT, ZEBOL S.A. MAKES NO OTHER WARRANTY FOR INSTALLATION COSTS, NON-PRODUCTION COSTS, ETC., INCLUDING ANY OTHER WARRANTY OF MERCHANTABILITY OR FITNESS OF THE PRODUCTS FOR ANY PARTICULAR PURPOSE. EVERY PRODUCT UNDER WARRANTY CLAIM MUST BE SENT OR DELIVERED TO THE OFFICES OF ZEBOL S.A., for the inspection and repair of the equipment. In the event that the shop determines in its sole discretion that Buyer has misused or failed to use the products in accordance with industry standards and practices, or has failed to use the products in accordance with the instructions provided by the shop, manufacturers, the warranty granted will no longer be effective. The sole and exclusive responsibility of ZEBOL S.A. With respect to products that have been shown to be defective, the product will be replaced at no cost to the Buyer, or the price paid will be refunded.
Returns: ZEBOL S.A. will not accept returns of products except with written authorization and in strict accordance with the internal Procedure of ZEBOL S.A. ZEBOL S.A. will not accept returns within periods longer than 8 calendar days after the billing date. Returns of any electrical accessories will not be accepted without exception.
Repairs: In repairs from a ZEBOL certified workshop, the warranty for the services that apply is 6 months, except for mechanical seals and/or wear elements, in which 30 days apply.
