OBSERVATIONS

1. EQUIPMENT SELECTION IS BASED ON THE INFORMATION PROVIDED BY THE CUSTOMER.

2. THE EQUIPMENT WILL HAVE A ONE ( 1 ) YEAR WARRANTY AGAINST MANUFACTURING DEFECTS. THE WARRANTY DOES NOT COVER DAMAGES CAUSED BY FLOODS OR NATURAL PHENOMENA, NOR WILL IT APPLY IN CASE OF MISUSE OF THE EQUIPMENT, INADEQUATE INSTALLATION, AND/OR FAILURE TO INSTALL PROTECTION AND CONTROL SYSTEMS.

   • For the warranty to be processed, the equipment must have a system that protects against adverse conditions such as low flow, pump damage, jamming, power issues, current and voltage monitoring, etc.

NOTES

1. Orders under $50.00 or its equivalent in colones must be paid in full upfront.

2. If the currency of this offer is in dollars, the invoice payment must be made in the same currency; otherwise, the official selling exchange rate issued by the BCCR on the day of the invoice payment must be used.

3. Zebol S.A. Sales Terms and Conditions apply (see Annex 1).

4. All purchase orders must be sent to the email ordenes@zebol.com.

5. Credit invoices accrue a 3% default interest, without this signifying an extension.

6. No returns are accepted for mechanical seals.

7. No returns are accepted for electrical parts/items.

8. 25% RESTOCKING FEE.

TERMS AND CONDITIONS

Definitions: The customer is any person, company, or institution acquiring the goods and/or services of ZEBOL S.A. and will be referred to as "The Buyer".

Acceptance: All merchandise deliveries are subject to the terms and conditions contained herein and therefore to the Buyer's acceptance. In the event that the parties agree to any changes in the terms and conditions, this must be made in writing and signed by both parties.

Quotes: ZEBOL S.A. prepares a formal written offer that defines the proposed scope in accordance with the customer's request. The offer must be reviewed by the Buyer, followed by their acceptance of the scope, options, price, delivery terms, payment method, and additional comments in response to the Buyer's quote request.

Prices: The prices indicated in ZEBOL S.A.'s offer include taxes separately. Transport and insurance costs will be the Buyer's responsibility unless otherwise stated in ZEBOL S.A.'s offer.

Additional Costs: The customer shall bear the costs of unloading the merchandise unless otherwise agreed upon, in which case it must be stated in writing in the offer. In addition, a storage fee will be incurred that covers days of warehousing, custody, merchandise handling, and others depending on the equipment to be stored. Storage cost: warehousing + custody + handling + others. *These charges apply to all customers who requested merchandise for import purposes; after the committed delivery date, the collection of this item will begin without exception, unless previously negotiated before the established time.

Offer Validity: It will be 15 calendar days from the date of issue unless otherwise expressly indicated in the offer.

Modification or Cancellation of Purchase Orders: Purchase orders can only be modified or corrected by written agreement signed by the parties, accepting the specific changes to be made, and where appropriate, modifications to the price and delivery times. The Buyer may not cancel their order unless they have the written consent of ZEBOL S.A. In such case, ZEBOL S.A. will notify the Buyer of the cancellation charges applied by the manufacturers and/or the return expenses of products to their place of origin. The Buyer shall agree to pay these charges within 3 business days following their written request, including, without limitation, storage costs, insurance, freight, taxes, and import expenses, costs for producing non-standard materials, acquisition costs for non-returnable materials, cancellation costs, and charges generated against ZEBOL S.A. by its suppliers, and any other costs that may result from the order cancellation by the Buyer.

Delivery Terms: Materials will be delivered to ZEBOL S.A.'s warehouses unless otherwise specified. ZEBOL S.A. may, upon the Buyer's request, deliver to their warehouses, for which ZEBOL S.A. will charge the service as a separate line item taking into consideration the size and/or volume of the goods and the distance to be covered. ZEBOL S.A. will not be liable for any loss, damage, or penalty resulting from a delay in the delivery of products or services due to causes beyond its control, including without limitation: failed reactions, acts of the Buyer, embargoes or other government acts, regulations or requests affecting ZEBOL S.A.'s activity; fire, explosion, accident, theft, vandalism, protests, acts of war, strikes, and other labor difficulties; lightning, flood, earthquake, or other natural phenomena; transportation delays or the inability to obtain labor, fuels, materials, supplies, or energy at normal prices, and generally for any fortuitous event and/or force majeure. Responsibility for the goods ends for Zebol upon delivery to the warehouses of the transport companies requested by the Buyer; what happens during transport will be the responsibility of the Buyer or transporter according to the arrangements between them.

Partial Deliveries: ZEBOL S.A. reserves the right to make partial deliveries. Each partial delivery will be invoiced and paid for separately upon its due date, regardless of subsequent deliveries.

Claims: The Buyer must inspect the products and notify ZEBOL S.A. of any claims for shortages, defects, and/or damages, and must keep the goods until receiving written instructions from ZEBOL S.A. on the procedure to follow. If the Buyer does not notify ZEBOL S.A. within a maximum of 24 hours after receiving the goods, they will be considered received in conformity with these terms to their complete satisfaction.

Impossibility or Delay in Delivery: The Buyer must guarantee that access to the workplace is safe for both ZEBOL S.A. workers and light vehicles/cranes. In the event that the delivery cannot be made for reasons beyond Zebol S.A.'s control, the operating expenses for the next trip will be paid in full by the customer (understood as mileage: ₡250 per kilometer for a light vehicle, and ₡500 per kilometer for a cargo vehicle; and man-hours ₡4,500). In case the Buyer requests a rescheduling of the delivery, this will be conditional upon schedule availability.

Payment Terms: The payment terms are indicated in the offer (advance payment, credit, cash on delivery, partial payments, letter of credit, etc.). If the Buyer's financial situation results in uncertainty that ZEBOL S.A. will receive payment for the full sale price, ZEBOL S.A. may, without the need to notify the Buyer, delay or postpone the delivery of the products and/or services; ZEBOL S.A. is also authorized to modify the payment terms. In the event that the Buyer fails to pay the sale price, ZEBOL S.A., without prejudice to any other legal remedies, may delay delivery, cancel the order, or sell the pending delivery products to a third party on the Buyer's account and apply such products as a credit, without settlement or deduction of any kind, against the contract purchase price, and the Buyer shall agree to pay the outstanding balance to ZEBOL S.A. upon request.

Warranty: ZEBOL S.A. guarantees that its products comply with the description provided to the Buyer through its offer and the product catalog. THIS WARRANTY IS EXCLUSIVE TO THE PRODUCT; ZEBOL S.A. DOES NOT GRANT ANY OTHER WARRANTY FOR INSTALLATION COSTS, NON-PRODUCTION, ETC., INCLUDING ANY OTHER WARRANTY OF MERCHANTABILITY OR FITNESS OF THE PRODUCTS FOR ANY SPECIFIC PURPOSE. EVERY PRODUCT UNDER A WARRANTY CLAIM MUST BE SENT OR DELIVERED TO ZEBOL S.A.'S OFFICES for equipment inspection and repair. If the workshop determines, at its discretion, that the Buyer has misused or failed to use the products in accordance with industry standards and practices, or has not used the products in accordance with the instructions provided by the manufacturers, the granted warranty will become void. ZEBOL S.A.'s sole and exclusive responsibility regarding products proven to be defective will be the replacement of the product at no cost to the Buyer, or the refund of the price paid.

Returns: ZEBOL S.A. will not accept product returns except with written authorization and in strict accordance with ZEBOL S.A.'s internal procedure. ZEBOL S.A. will not accept returns after periods greater than 8 calendar days from the billing date. No returns of any electrical accessory will be accepted, without exception.

Repairs: In repairs by a certified ZEBOL workshop, the applicable warranty for services is 6 months, except for mechanical seals and/or wear elements, for which 30 days applies.

Early Payment Benefit: The early payment discount applies only to customers with active credit, payment terms equal to or greater than thirty (30) days, who are up to date (no arrears), and who make the payment within the first fifteen (15) calendar days after the invoice issuance. The benefit corresponds to a 1% discount on the subtotal, not including taxes or additional charges. Payment must be made in cash or by bank transfer.

Restrictions apply. ZEBOL S.A. reserves the right to approve exceptions and to modify these conditions at any time.
